These Terms and Conditions ("Terms", "Terms and Conditions", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and Codiroo LLC ("Company", "we", "us", or "our") concerning your access to and use of the Codiroo website and services (collectively, the "Service").

By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you must not access or use the Service.

User Obligations and Conduct

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Activities:

• Violate any applicable laws, regulations, or third-party rights
• Engage in fraudulent, deceptive, or misleading practices
• Manipulate, abuse, or exploit the referral system
• Use automated scripts, bots, or crawlers to access the Service
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or other harmful code
• Harvest or collect information about other users without consent
• Impersonate any person or entity
• Use the Service to spam, harass, or abuse others
• Create multiple accounts to circumvent system limitations
• Engage in click fraud or artificial traffic generation

Intellectual Property Rights

The Service and all content, features, and functionality (including but not limited to software, code, text, graphics, logos, images, and design) are owned by Codiroo LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.

Referral System and Fair Distribution

How It Works

Codiroo operates on a transparent, algorithm-driven referral distribution system:

1. Users submit referral links for products/vendors
2. Links enter a fair rotation sequence managed by our distribution algorithm
3. When someone requests a referral link, the next eligible link is delivered automatically
4. All users receive equal opportunity for their links to surface over time
5. No preferential treatment or VIP access

No Guarantees

• We do not guarantee any specific results, earnings, or performance
• Referral success depends on many factors outside our control
• Past performance does not guarantee future results

Vendor Relationships

Vendors listed on Codiroo are independent third parties. We do not endorse, warrant, or guarantee any vendor's products or services. You are responsible for evaluating vendors before using their services. Disputes with vendors must be resolved directly with the vendor.

Fees and Payment

Current Pricing

Codiroo is currently free to use. We reserve the right to introduce fees, subscriptions, or premium features in the future.

Future Paid Features

If we introduce paid features:

• We will provide advance notice (at least 30 days)
• You will not be charged without your explicit consent
• Pricing and payment terms will be clearly disclosed
• You can choose whether to subscribe to paid features

Disclaimers and Warranties

We do not warrant or guarantee:

• The Service will meet your requirements or expectations
• The Service will be available at all times
• Results from using the Service, including referral earnings
• Accuracy of vendor information or referral programs
• Uninterrupted or error-free operation
• Security or virus-free operation

Limitation of Liability

Maximum Liability:

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to defend, indemnify, and hold harmless Codiroo LLC, its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any laws or regulations
• Your violation of any third-party rights
• Your User Content or referral links
• Any fraudulent, negligent, or wrongful conduct by you

Modifications to Service and Terms

We reserve the right to modify, suspend, or discontinue the Service at any time. We may update these Terms from time to time. When we make changes:

• We will update the "Last Updated" date
• For material changes, we will provide notice via email or Service notification
• Changes take effect upon posting or as specified in the notice
• Continued use of the Service after changes constitutes acceptance

Privacy and Data Protection

Jurisdiction and Venue

Subject to the arbitration provisions below, you agree that:

• Any legal action must be brought in the courts located in San Francisco, California
• You consent to the exclusive jurisdiction of these courts
• You waive any objection to venue or inconvenient forum

Arbitration Agreement

You and Codiroo agree to resolve disputes through binding arbitration, except as specified below.

Arbitration Rules:

• Arbitration will be conducted by the American Arbitration Association (AAA)
• The AAA's Commercial Arbitration Rules will apply
• Arbitration will be held in San Francisco, California or via phone/video conference
• The arbitrator's decision is final and binding

Exceptions to Arbitration:

• Small claims court actions (if requirements are met)
• Injunctive or equitable relief for intellectual property infringement

Class Action Waiver

• Neither party may bring claims as a plaintiff or class member in a class, consolidated, or representative action
• The arbitrator may not consolidate claims or conduct class arbitration
• If this waiver is found unenforceable, the arbitration agreement is void

This means you agree to give up your right to participate in class action lawsuits.
